Execra Service Addendum

This Addendum supplements the CloudFran Terms of Service, Privacy Policy, and Data Processing Addendum. It applies only to Customers who have subscribed to the Execra product (the "Execution OS"). Capitalized terms not defined here have the meanings assigned in the base agreements.

1. Autonomous Agent Actions

Execra includes artificial-intelligence agents that, subject to Customer's configuration of per-(agent × tenant × location) autonomy settings ("Autonomy Dial"), may detect operational events, decide a course of action, and execute that action on Customer's behalf. Customer acknowledges that:

  • Each action is recorded with full audit trail in CloudFran's CfAutomationAuditLog;
  • Customer may opt-out of any specific agent at any time via /Account/AutomationPreferences, and such opt-out is effective within minutes;
  • When an agent operates in the "Autonomous" Autonomy Dial state, CloudFran is not liable for Action outcomes executed within the scope of permissions Customer configured; however, CloudFran retains liability for defects in the Governance Service (opt-out, rate-limit, audit).

2. Outcome Attribution Methodology

Execra maintains an "Outcome Attribution Ledger" that records, for each action that has fired (in live or dry-run state), a revenue-delta and cost-delta computed as follows:

Attribution methodology. When enabled, Execra's Outcome Attribution Ledger computes a revenue-delta for each automation action by comparing actual observed revenue within a 7-day lookback window (the "Attribution Window") to a synthetic counterfactual baseline derived from: (a) the tenant's own historical seasonality over the rolling 90 days preceding the action, decomposed into trend and weekly/bi-weekly/4-weekly components; and (b) the cross-tenant median outcome for the same action type and vertical, Bayesian-blended with weight proportional to the tenant's historical data density. The resulting counterfactual is compared to actual observed revenue to produce the revenue-delta. Customer may inspect every recorded attribution at /CloudFranAdmin/AutomationKPIs.

The Attribution Window length (default 7 days), the historical lookback length (default 90 days), and the Bayesian weighting parameters are tunable per Customer on request; changes do not retroactively modify prior ledger entries.

3. Outcome-Fee Billing (Optional)

Customer may elect, at any time, to swap from flat-tier billing to outcome-fee billing for any active Execra subscription. If elected:

  • The monthly invoice equals the greater of (a) the elected flat-tier subscription price, or (b) 2.5% of aggregate positive revenue-delta recorded in the Outcome Attribution Ledger during the billing period, capped at 1.5× the flat-tier price;
  • Outcome-fee billing activates only after a 60-day attribution-validation period during which flat-tier pricing applies unchanged;
  • Customer may revert to flat-tier billing with 30 days' notice; no early-termination fees apply to the billing-model change itself.

4. Cross-Tenant Learning

Execra agents benefit from cross-tenant reinforcement-learning priors maintained by CloudFran. These priors are derived from anonymized outcome signals (signal type, arm identifier, binary success outcome) contributed by all participating tenants, subject to:

  • No per-tenant attribution survives the rollup — only aggregated Beta(α, β) parameters and cohort size are persisted in CfCrossTenantPriors;
  • Minimum cohort size of five (5) distinct tenants before any prior is served — signals below this threshold never reach the read-side store;
  • The signal payload contains no personally-identifiable information or customer identifiers by design;
  • Customer may opt-out of signal contribution at any time via /Account/AutomationPreferences (key crosstenant.rl); opting out does not remove access to served priors.

5. Cross-Product Agent Invocations

Execra agents may invoke services in other CloudFran products registered to the same tenant (e.g., Presentations AI to generate a deck, Meditropia AI Scribe to draft a clinical note, OmniReceptionist to place an outbound call). Customer acknowledges that (a) such cross-product invocations are governed by the Execra Governance Service under the originating agent's scope; (b) all invocations in the chain are attributed to the single originating action identifier; and (c) Customer's subscription must include the downstream product for cross-product invocations targeting that product to succeed.

6. Industry-Specific Compliance

Healthcare vertical: Execra Healthcare Pack is offered only on the Enterprise tier with an executed Business Associate Agreement (BAA). All PHI handled by Execra within the Healthcare Pack is processed under the BAA's scope. Franchise and Restaurant verticals: Execra's Compliance agent assists with brand-rule enforcement and HR compliance checks but is not a substitute for Customer's own legal review.

7. Data Export and Deletion

Upon Customer request, CloudFran will export all Execra-specific data (agent configurations, Autonomy Dial settings, audit log, Outcome Attribution Ledger, conversation history) in JSON or CSV format within 30 days. Upon subscription termination, Execra-specific data is retained for 90 days for recovery, then permanently deleted except as required by applicable law (audit logs may be retained longer per SOC 2 requirements).

8. Patent-Pending Technology Acknowledgment

Execra incorporates patent-pending technology owned by CloudFran, Inc., including but not limited to: (a) the per-(agent × tenant × location) Autonomy Dial and failback state machine; (b) the Outcome Attribution Ledger counterfactual methodology; (c) the Cross-Product Agent Conductor; and (d) the deterministic automation-promotion rubric. Customer receives only a limited, non-transferable right to use Execra for its internal business operations; no license to the underlying patents, know-how, or source code is granted.
